Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the E-Epic Events platform (the “Platform”), operated by E-EPIC TECHNOLOGIES LTD. (“E-Epic”, “we”, “us”). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. The Platform

E-Epic helps Event Planners discover and connect with Vendors. An AI assistant (“Jada”) may suggest vendors and planning steps. E-Epic facilitates introductions and tools (e.g., messaging, lead unlocks, event management) but does not provide vendor services itself.

Marketplace Role. E-Epic is not a party to agreements between planners and vendors, does not employ or supervise vendors, and does not guarantee outcomes, pricing, availability, or service quality. Vendors are independent businesses responsible for their own legal and tax obligations.

2. Eligibility & Accounts

  • You must be at least 18 and able to form a binding contract.
  • Provide accurate information and keep your account secure; promptly notify us of unauthorized access.
  • We may suspend or terminate accounts that violate these Terms or harm the Platform.

3. Planner Experience

  • Planners can create events, receive vendor suggestions, shortlist vendors, and communicate through the Platform.
  • Planner contact details remain private to vendors unless and until a vendor unlocks the connection through the Platform.
  • Planners are solely responsible for their event decisions, budgets, and contracts with vendors.

4. Vendor Responsibilities

  • Maintain truthful business listings, pricing ranges, and availability; keep profiles updated.
  • Respond professionally and comply with all applicable laws (licenses, taxes, permits, insurance, consumer protection).
  • Do not upload content you do not own or have rights to use.
  • You are solely responsible for services delivered to planners and their guests.

5. Credits, Lead Unlocks & Payments

  • Vendors may purchase credits to unlock planner connections (“lead unlocks”). Pricing and credit packages may change over time.
  • Payments are processed by third parties (e.g., Stripe). You authorize those processors to charge your payment method for purchases, taxes (including GST/HST in Canada), and applicable fees.
  • Credits are non-transferable and have no cash value. Unless we state otherwise, credits do not expire.
  • Refunds. Monetary refunds are not provided. If a lead is materially invalid (e.g., unreachable contact information) you may request a credit restoration within 7 days of unlock; decisions are at eEpic's reasonable discretion.
  • Any separate contracts, deposits, or payments between planners and vendors occur outside E-Epic and are not our responsibility.

6. No Circumvention

Users agree not to circumvent the Platform to avoid applicable E-Epic processes or fees for introductions that originated on the Platform. Repeated or deliberate circumvention may result in suspension or termination.

7. Acceptable Use

  • No illegal, fraudulent, harassing, or infringing activity.
  • No scraping, crawling, data mining, or automated access without written permission; respect rate limits and API rules.
  • No attempts to bypass security features or interfere with the Platform's operation.
  • No posting of others' personal data without lawful basis and permission.

8. Content & IP

You retain ownership of content you submit. You grant E-Epic a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and adapt your content for operating and improving the Platform (including caching, responsive design, search, and recommendations).

Do not use our brand, trademarks, or code without permission. Report alleged infringement to contact@eepic.ca.

9. Beta & Changes

Some features may be labeled Beta or may change over time. We may modify, suspend, or discontinue features at any time. We'll try to avoid breaking changes, but the Platform is provided “as available.”

10. Privacy

Our Privacy Policy explains how we handle personal data. By using the Platform, you consent to those practices, including international transfers where applicable.

11. Third-Party Services

The Platform may link to third-party sites or services (e.g., vendor websites, payment processors). We are not responsible for those sites or their terms.

12. Disclaimers

The Platform and AI suggestions are provided “as is” and “as available” without warranties of any kind, express or implied. E-Epic does not guarantee the suitability, safety, legality, quality, or availability of vendors or services, nor the accuracy or completeness of listings or recommendations.

You are solely responsible for evaluating vendors, negotiating terms, and complying with your own legal obligations.

13. Limitation of Liability

To the maximum extent permitted by law, E-Epic (and our directors, officers, employees, and agents) will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, loss of profits or revenue, or loss of data, even if advised of the possibility of such damages.

Our total liability for all claims in any 12-month period is limited to the greater of (a) CAD $100 or (b) the amounts you paid to E-Epic in that period. Some jurisdictions do not allow certain limitations; in those cases, the limits apply to the fullest extent permitted.

14. Indemnification

You will defend, indemnify, and hold harmless E-Epic from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) your content, services, or activities on the Platform, (b) your breach of these Terms, or (c) disputes between planners and vendors.

15. Suspension & Termination

We may suspend or terminate access if you violate these Terms, harm the Platform, or for risk/fraud/security reasons. You may close your account at any time. Upon termination, provisions that by their nature should survive (e.g., IP licenses for backups/caches, disclaimers, limitations, indemnities) will survive.

16. Governing Law, Venue & Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflicts of law.

You agree to the exclusive jurisdiction and venue of the provincial or federal courts located in British Columbia, Canada. To the extent permitted by law, disputes will be brought in your individual capacity, not as a class representative or member.

17. Changes to Terms

We may update these Terms. Material changes will be notified in-app or by email and will take effect on the stated effective date. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
